Supplemental AI Terms of Service

These Supplemental Terms (“AI Terms”) apply to Customer’s use of any generative AI-powered features or add-ons (“AI Add-On”) provided by NetBox Labs, Inc. (“NBL”) for use with one or more Products. These AI Terms supplement the NBL Terms of Service (“Agreement”) set forth at https://netboxlabs.com/terms-of-service (“Terms of Service”). Capitalized terms used but not defined herein have the meaning set forth in the Terms of Service. In case of conflict, these AI Terms prevail for AI Add-On use.

1. Early Access; Use with Caution. Customer acknowledges that the AI Add-On is a Preview Feature and as such, is being made available for evaluation prior to general availability. As such, it may contain bugs, errors, or inaccuracies and is not guaranteed to be error-free or fit for any particular purpose. NBL may change, suspend, or discontinue the AI Add-On at any time without notice. Limited support may be available, but the AI Add-On is not covered by any support service level commitments. Customer should not rely on the AI Add-On for critical or production purposes, and agrees to use it with caution. All use is at Customer’s own risk. 

2. Third-Party AI Services. Customer understands that NBL may use third-party artificial intelligence providers (for example, OpenAI’s GPT models) as part of delivering the AI Add-On. Customer’s prompts, inputs, and query data may be transmitted to such third-party AI services for processing in order to generate the output, provided, however, that NBL’s terms of service with such third parties prohibit use by such third parties of the Inputs to train their models. By using the AI Add-On, Customer consents to NBL sharing Customer’s inputs with integrated third-party AI providers to enable the functionality. NBL does not make any guarantees regarding the services or outputs of third-party AI providers and disclaims liability for their acts or omissions. 

3. Customer Inputs and Outputs. “Input” means any content or data (including text prompts or file uploads) that Customer submits to the AI Add-On. “Output” means any content generated by the AI Add-On in response (text, suggestions, or other results). Customer retains ownership of its Inputs and any of its proprietary content included in an Output, as defined as Customer Data under the Agreement. Customer hereby grants NBL the right to store, use, and process Inputs and Outputs (even if they constitute Customer Data) to operate and improve NetBox’s products and services, consistent with the Agreement’s Section 6.1 on permitted use of Customer Data. NBL may analyze and aggregate AI Inputs/Outputs to refine AI models, enhance the AI Add-On’s capabilities, and develop new features, provided that if we disclose any aggregated learning it will not identify Customer or its users. Customer is also responsible for excluding any third-party confidential or proprietary data from Inputs unless it has all necessary rights and consents to use that data.

4. Acceptable Use and Responsibilities. Customer agrees to use the AI Add-On responsibly and in compliance with all applicable laws. Do not use the AI Add-On to generate or disseminate content that is illegal, harmful, or violates anyone’s rights (including no material that is defamatory, obscene, harassing, infringing, or invasive of privacy) or the Restrictions on Use set forth in the Agreement. Customer is solely responsible for the content of Inputs it provides and the use of Outputs received. NBL does not moderate or pre-screen Inputs or Outputs, so Customer must ensure its use of the AI Add-On (and any content it produces) complies with Customer’s own internal policies and applicable law. Customer will not misrepresent Output as human-generated or as professional advice. Any decisions made or actions taken by Customer in reliance on the AI Output are Customer’s responsibility, and Customer should independently verify important results. Customer may not use any Output from the AI Add-On to train or develop any artificial intelligence or machine learning model, or for the purpose of building a competing AI service. NBL reserves the right to suspend or terminate Customer’s access to the AI Add-On for any misuse or violation of these AI Terms (without prejudice to the Agreement or other remedies).

5. Intellectual Property and Output Ownership. NBL retains ownership of all rights (including intellectual property rights) in and to the AI algorithms and generated Outputs, except that any Customer Data or proprietary content supplied by Customer and included in an Output remains owned by Customer. In other words, to the extent an AI-generated Output includes or is derived from Customer’s pre-existing data, Customer retains ownership of that part of the Output. All other elements of any Output are owned by NBL. NBL hereby grants Customer a non-exclusive, worldwide, royalty-free license to use, reproduce, and create derivative works from the AI Outputs for Customer’s internal business purposes. Aside from this license, nothing in these AI Terms transfers any ownership or rights in the Outputs to Customer, and NBL reserves all rights not expressly granted. Customer confirms that NBL is free to use and commercialize any feedback, suggestions, or improvements that Customer provides about the AI Add-On, without obligation.

6. Disclaimers of Warranty. Customer acknowledges that Outputs are generated by an AI system (machine learning model), not a human, and may be inaccurate, misleading, offensive or otherwise erroneous. NBL makes no warranty or representation of any kind – express or implied – about the AI Add-On’s performance or the accuracy, quality, or reliability of any Output. Among other things, NBL does not guarantee that the AI Add-On or its Outputs will meet Customer’s expectations, will be error-free or uninterrupted, or that Outputs will be unique or exclusive to Customer. NBL disclaims all liability for actions taken by Customer based on Output. Customer should consult a qualified human professional for any critical decisions – the AI Add-On is not a certified expert. Furthermore, Customer’s use of any Output is at its own risk. To the maximum extent permitted by law, NBL disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, regarding the AI Add-On and Outputs. The Agreement’s existing disclaimers and limitations of liability (including for Preview Features) fully apply to the AI Add-On and Outputs. 

7. Relationship to Main Agreement. These AI Terms are supplemental to the Agreement and form part of the Agreement between Customer and NBL regarding the AI Add-On. Except as expressly modified by these AI Terms, all provisions of the existing Agreement (including Customer’s indemnification obligations, NBL’ liability limits, governing law, and dispute resolution terms) apply to the use and access of the AI Add-On. In the event of any conflict between these AI Terms and the rest of the Agreement with respect to use of the AI Add-On, these AI Terms will control.
